Terms of Service

1. Agreement to Terms

By placing an order through versetechsolutions.com ("Site"), you agree to be bound by these Terms of Service ("Terms"). "Verse," "we," "us," or "our" refers to Verse Technology Solutions, operated by Lyle Smith III. "You" or "Client" refers to the individual or entity purchasing our services.

2. Services Provided

We provide custom website design, development, hosting, maintenance, and ongoing support ("Concierge Service"). Services vary by plan and include:

• Custom-coded website design and development
• Managed cloud hosting on enterprise infrastructure
• SSL certificate provisioning and renewal
• Ongoing maintenance, security patches, and uptime monitoring
• Content changes upon request via email or client portal
• Domain registration and DNS management (where applicable)

3. Pricing, Billing & Payment

All prices are listed in US dollars. Subscription plans are billed monthly via Stripe. Payment is due at the time of order, and your subscription begins immediately upon successful payment.

• Recurring charges: Your card will be charged automatically each month on the anniversary of your signup date.
• Setup fees: E-Commerce and SaaS plans include a one-time setup fee charged at the time of order. This fee is non-refundable once project work has begun.
• Failed payments: If a payment fails, we will notify you and attempt to retry. If payment cannot be collected after reasonable attempts, we reserve the right to suspend services until the balance is resolved.
• Price changes: We may adjust pricing for new subscribers. Existing subscribers will receive at least 30 days written notice before any price change takes effect.

4. Cancellation Policy

All plans include a 3-month launch period beginning on your signup date. During this period, we design, build, launch, and optimize your site. Cancellation is not available during the launch period.

After the 3-month launch period, your plan becomes month-to-month. You may cancel at any time by emailing us at [email protected] or submitting a cancellation request through your client portal, with at least 30 days notice.

• Your site will remain active through the end of your current billing period.
• Upon cancellation, we will provide you with all source files, content, and assets from your site.
• We will assist with transitioning your domain to another provider if needed.
• Hosting and maintenance cease at the end of the final paid period.

5. Project Timeline & Delivery

Estimated build timelines are provided during onboarding and depend on the plan selected and the completeness of information provided. Timelines are estimates, not guarantees. Delays caused by late or incomplete information from the Client will extend the timeline accordingly. We will communicate proactively if timelines need adjustment.

6. Intellectual Property

Upon full payment of all fees:

• Your content: All text, images, logos, and brand assets you provide remain your property at all times.
• Custom code: Custom code written specifically for your project is owned by you. Upon cancellation, you receive all source files.
• Our tools: Proprietary tools, frameworks, templates, and internal systems used to build your site remain the property of Verse Technology Solutions.
• Portfolio rights: We reserve the right to display your completed site in our portfolio and marketing materials unless you request otherwise in writing.

7. Content Changes & Additional Work

Minor content changes (text updates, image swaps, small layout adjustments) are included in your monthly plan. Larger additions — such as new pages, new features, blog sections, or integrations — are available as add-on development at $100/hour. We will always provide a written estimate before beginning any additional work.

8. Client Responsibilities

You agree to:

• Provide accurate information during signup and onboarding
• Respond to requests for content, feedback, or approvals in a timely manner
• Not use the site for any illegal, fraudulent, or harmful purpose
• Not attempt to access, modify, or reverse-engineer our server infrastructure
• Maintain the confidentiality of your portal login credentials

9. Limitation of Liability

To the maximum extent permitted by law, Verse Technology Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, resulting from your use of our services. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the three (3) months preceding the claim.

10. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for downtime caused by factors beyond our control, including but not limited to: server hardware failures, DNS propagation, third-party service outages, natural disasters, or cyberattacks. Scheduled maintenance will be communicated in advance when possible.

11. Termination by Verse

We reserve the right to terminate or suspend your account if you: violate these Terms, engage in abusive or fraudulent behavior, fail to pay after reasonable notice, or use our services in a manner that threatens the security or performance of our infrastructure. In the event of termination, we will provide your site files and a reasonable transition period.

12. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Georgia, United States. Any disputes arising from these Terms shall be resolved in the courts of Gilmer County, Georgia.
